1. Acceptance of Terms

By accessing or using ProfitSpyTools at profitspytools.com you agree to these Terms of Service. If you do not agree do not use the platform.

2. Description of Service

ProfitSpyTools provides AI-powered affiliate marketing tools including niche research, content generation, market analysis, email marketing integration and performance tracking. The platform is provided as a Software as a Service (SaaS) on a subscription basis.

3. Eligibility

• You must be 18 years or older
• You must be legally able to enter a binding contract in your jurisdiction
• You must not be located in a jurisdiction where using such services is prohibited
• One account per person — creating multiple accounts to circumvent restrictions is prohibited

4. Account Responsibilities

• Keep your login credentials secure and confidential
• You are responsible for all activity under your account
• Notify us immediately of unauthorised account access
• Provide accurate information during registration
• Keep your email address current to receive important notices

5. Affiliate Marketing Compliance

You are solely responsible for ensuring your affiliate marketing activities comply with:

• Australian Consumer Law and Australian Competition and Consumer Act 2010
• FTC guidelines on endorsements and testimonials
• The terms of service of each affiliate network you are a member of including ClickBank, Amazon Associates, Digistore24, ShareASale, Awin, Impact and CJ Affiliate
• Platform-specific advertising policies including Google, Facebook, TikTok, YouTube and Instagram
• Any applicable laws in the jurisdictions where you promote products

Mandatory Disclosure Requirements

You must include appropriate affiliate disclosure in all content you publish that contains affiliate links. At minimum this must state that you may earn a commission from purchases made through your links.

For Amazon Associates content you must include: "As an Amazon Associate I earn from qualifying purchases."

Disclosures must be clear, conspicuous and placed before or near affiliate links — not hidden in footers or fine print.

6. Prohibited Uses

You may not use ProfitSpyTools to:

• Generate false or misleading claims about products
• Make unsubstantiated income guarantees or earnings claims
• Make false health or medical claims about products
• Create spam or unsolicited bulk email campaigns
• Violate the terms of service of any affiliate network
• Promote illegal products or services
• Infringe intellectual property rights of others
• Engage in deceptive marketing practices
• Use the platform for any unlawful purpose
• Attempt to reverse engineer or copy the platform
• Share your account credentials with others
• Use automated bots to access the platform

7. Content Generated by the Platform

Content generated by ProfitSpyTools using AI is provided as a starting point and template. You are responsible for reviewing, editing and ensuring all published content is accurate, compliant and appropriate before publishing.

ProfitSpyTools does not guarantee the accuracy of AI-generated content. You must verify all factual claims, product descriptions and income figures before publishing.

You retain ownership of content you generate and publish. By generating content you grant us a limited licence to store and display that content within the platform.

8. Market Research Data

Market research data provided through ProfitSpyTools is sourced from publicly available APIs and search engine data including DataForSEO and Google Trends. This data is provided for informational purposes only. We do not guarantee its accuracy or completeness.

We do not access private, confidential or proprietary information about any business or individual.

9. Subscription and Payment

• Subscriptions are billed monthly or annually in advance
• Payments processed by Stripe — we do not store card details
• Prices are in US dollars (USD). We are not currently registered for GST, so no GST is charged
• Subscriptions automatically renew unless cancelled before the renewal date
• Cancel anytime through your account settings — access continues until end of billing period
• Full refund within 14 days of your first payment (see our Refund Policy, which takes precedence). After that, no refunds for partial billing periods unless required by Australian Consumer Law

10. Australian Consumer Law

Nothing in these terms excludes, restricts or modifies any consumer guarantee, right or remedy you may have under the Australian Consumer Law that cannot be excluded. Where we are permitted to limit our liability for breach of such guarantees our liability is limited to resupply of the service or the cost of having the service resupplied.

11. Limitation of Liability

To the maximum extent permitted by Australian law ProfitSpyTools is not liable for:

• Income losses or missed commissions from using the platform
• Account suspensions or terminations by affiliate networks
• Accuracy of AI-generated content
• Third party service outages affecting platform functionality
• Actions taken based on market research data provided
• Any indirect, consequential or special damages

The tools on the platform, including the Compliance Checker and the Investment Decision Engine, provide general information only. Their output is not legal, financial, tax or investment advice. Check important decisions with a qualified professional.

12. Indemnification

You agree to indemnify ProfitSpyTools against any claims, damages or expenses arising from your use of the platform, violation of these terms or violation of any affiliate network terms or applicable law.

13. Intellectual Property

ProfitSpyTools, its logo, platform code and original content are owned by ProfitSpyTools (ABN: 96 517 987 507). You may not copy, reproduce or distribute any part of the platform without written permission.

All affiliate network names, logos and trademarks mentioned (ClickBank, Amazon, Digistore24, ShareASale, Awin, Impact, CJ Affiliate) are the property of their respective owners. ProfitSpyTools is not affiliated with or endorsed by any of these organisations.

14. Termination

We may suspend or terminate accounts that violate these terms, engage in fraudulent activity or cause harm to other users or third parties. You may cancel your account at any time. On termination your data will be deleted within 30 days subject to legal retention requirements.

15. Governing Law

These terms are governed by the laws of the Australian Capital Territory, Australia. Any disputes will be subject to the exclusive jurisdiction of ACT courts.

16. Changes to Terms

We may update these terms periodically. Material changes will be communicated by email with at least 14 days notice. Continued use after the effective date constitutes acceptance.
